GOTOHOME^TM Membership Terms & Conditions

1. Definitions

Member: Any licensed professional, brokerage, individual, or entity registered with or participating in the GOTOHOME^TM and/or CaliforniaGO^TM platform in any capacity.

STANDARD FEATURED MEMBERSHIP^TM Member: A Member maintaining an active paid STANDARD FEATURED MEMBERSHIP^TM subscription in good standing.

FOUNDING CALIFORNIAGO MEMBERSHIP^TM Member: A Member participating under the FOUNDING CALIFORNIAGO MEMBERSHIP^TM structure.

Customer: A consumer introduced through the GOTOHOME^TM and/or CaliforniaGO^TM platform.

GOTOHOME^TM Referred Customer: A Customer introduced, referred, connected, pre-qualified, or otherwise directed to a Member by GOTOHOME^TM, CaliforniaGO^TM, or its representatives.

Qualified Customer: A Customer who completes a transaction.

2. Description of Services

GOTOHOME^TM provides marketing and membership services which may include:

• Directory placement
• Profile hosting
• Marketing exposure
• Consumer introductions
• City-based placement opportunities
• Access to participation and referral programs

GOTOHOME^TM does not guarantee consumer inquiries, transactions, commissions, income, business volume, or specific results.

3. Changes to Agreement

GOTOHOME^TM reserves the right to modify these Terms at any time. Continued use of the Services following any updates constitutes acceptance of the revised Terms.

4. Membership Term

Membership subscriptions renew automatically unless canceled in accordance with these Terms.

5. Member Requirements

Members must maintain all applicable professional licenses, remain in good standing with their governing regulatory bodies, and provide accurate and current information to GOTOHOME^TM.

Members are solely responsible for compliance with all local, state, federal, broker, MLS, licensing, advertising, and regulatory requirements applicable to their profession.

6. CaliforniaGO^TM Buyer Incentive Participation

Certain transactions originating through the GOTOHOME^TM and/or CaliforniaGO^TM platform may include a consumer-facing buyer incentive component.

Applicable buyer incentive participation requirements apply solely to licensed real estate agents and real estate brokerages participating in applicable buyer-side real estate transactions.

Any participating real estate Member who accepts, receives, services, or participates in a transaction involving a Customer originating through the GOTOHOME^TM and/or CaliforniaGO^TM platform agrees to offer a buyer credit equal to 10% of the gross commission earned on eligible buyer-side transactions, subject to:

• Broker approval
• Escrow procedures and instructions
• Lender guidelines
• Applicable law and regulatory requirements

Any applicable buyer credit shall be disclosed and processed through escrow by the participating brokerage and escrow company.

GOTOHOME^TM does not hold, distribute, or disburse commission funds or buyer credits.

Loan Officers, Loan Brokers, Mortgage Brokers, Mortgage Loan Originators, and other lending professionals are excluded from buyer incentive participation obligations except where expressly permitted by applicable law and agreed to separately in writing.

Members acknowledge that all commission structures, buyer credits, and transaction-related compensation remain subject to the policies of the Member’s employing broker and all applicable laws and regulations.

7. Referral Fees

Certain real estate transactions involving GOTOHOME^TM Referred Customers may require payment of a referral fee to GOTOHOME^TM.

Applicable referral fee obligations apply solely to licensed real estate agents and real estate brokerages participating in applicable real estate transactions.

Unless otherwise waived or modified in writing by GOTOHOME^TM, participating FOUNDING CALIFORNIAGO MEMBERSHIP^TM Members who are licensed real estate agents and who accept, receive, service, or participate in a transaction involving a GOTOHOME^TM Referred Customer shall be required to pay a referral fee equal to 10% of the gross commission earned by the participating real estate brokerage on the applicable side of the transaction.

A 10% broker-to-broker referral fee payable to GOTOHOME^TM applies to all applicable referred transactions involving a FOUNDING CALIFORNIAGO MEMBERSHIP^TM Realtor Member. Referral fees are due upon successful closing in accordance with platform Terms, broker approval, escrow procedures, and executed referral agreements.

Participating Members may be required to deliver a signed referral fee agreement to broker@gotohome.com upon introduction or delivery of a Customer referral.

Listing-side exemption: GOTOHOME^TM referral fee obligations do not apply to listing-side commissions earned from listings independently generated by the Member, unless otherwise agreed to separately in writing.

Loan Officers, Loan Brokers, Mortgage Brokers, Mortgage Loan Originators, and other lending professionals are excluded from referral fee participation requirements except where expressly permitted by applicable law. This exclusion applies regardless of membership tier, including Loan Professional FOUNDING CALIFORNIAGO MEMBERSHIP^TM Members.

Referral fee obligations do not apply to Members maintaining an active STANDARD FEATURED MEMBERSHIP^TM subscription in good standing unless otherwise agreed to separately in writing.

All referral fees remain subject to broker approval, escrow procedures, licensing regulations, and applicable law.

7A. Homebuyer Registration Distribution

GOTOHOME^TM distributes homebuyer registrations submitted through CaliforniaGO.org — GOTOHOME^TM‘s primary consumer-facing marketing page — to eligible Members in two ways:

• Individual Member Page registrations: When a consumer completes CaliforniaGO^TM registration directly from a specific Member’s individual page, that registration is sent to that Member immediately. This applies to all Members, regardless of membership tier or profession.
• Round-robin distribution: Pre-vetted homebuyer registrations originating from CaliforniaGO.org are distributed among eligible Members on a round-robin basis. Round-robin distribution is available to: (i) all STANDARD FEATURED MEMBERSHIP^TM Members, regardless of profession, and (ii) FOUNDING CALIFORNIAGO MEMBERSHIP^TM Members who are licensed real estate agents. FOUNDING CALIFORNIAGO MEMBERSHIP^TM Members who are Loan Professionals are not included in round-robin distribution and receive prospects solely through their individual Member Page.

Founding first-prospect guarantee. A FOUNDING CALIFORNIAGO MEMBERSHIP^TM Member who is a licensed real estate agent is guaranteed to receive the first pre-vetted CaliforniaGO^TM homebuyer registration prospect distributed via round-robin for that Member’s city following approval of the Member’s Founding registration, ahead of any round-robin distribution to other Members in that city under this Section 7A. This guarantee applies solely to pre-vetted prospects distributed through the round-robin method described above; it does not apply to, restrict, or delay registrations completed directly from another Member’s individual Member Page, which are delivered immediately to that Member under the Individual Member Page Registration method regardless of this guarantee. Once the Founding Member’s first pre-vetted prospect has been delivered, subsequent pre-vetted CaliforniaGO^TM homebuyer registrations for that city are distributed on a round-robin basis as described above, alongside any STANDARD FEATURED MEMBERSHIP^TM Members subsequently added to that city’s round-robin pool. This guarantee pertains solely to the order in which pre-vetted prospects are delivered and does not guarantee the timing, volume, quality, or transactional outcome of any registration.

GOTOHOME^TM does not guarantee any minimum volume, frequency, or quality of registrations distributed through either method, and reserves the right to modify distribution criteria, eligibility, or methodology at any time, except for the Founding first-prospect delivery guarantee described above, which GOTOHOME^TM will honor for each FOUNDING CALIFORNIAGO MEMBERSHIP^TM Realtor Member’s city.

8. City Structure

Featured city placement is currently limited to:

• 3 Realtors per city
• 3 Loan Professionals per city

FOUNDING CALIFORNIAGO MEMBERSHIP^TM city placement is further limited to one Realtor and one Loan Professional per city, for registrations through December 31, 2026 or until that city’s Founding slots are filled, whichever occurs first, as a limited-time exclusivity benefit. GOTOHOME^TM may, at its discretion, open additional Founding registration periods in cities that have not reached full Founding participation.

This exclusivity applies solely within the FOUNDING CALIFORNIAGO MEMBERSHIP^TM tier itself. A FOUNDING CALIFORNIAGO MEMBERSHIP^TM Member is not guaranteed to be the only Member in their city — GOTOHOME^TM may offer, sell, or activate STANDARD FEATURED MEMBERSHIP^TM or any other current or future membership tier to additional Realtors or Loan Professionals in the same city at any time, subject to the per-city limits described above. Activating a STANDARD FEATURED MEMBERSHIP^TM Realtor’s individual Member Page in that city is not restricted by this Section, as individual Member Page registrations are delivered directly to that Member regardless of round-robin standing. For a FOUNDING CALIFORNIAGO MEMBERSHIP^TM Realtor Member’s city specifically, GOTOHOME^TM will not include another Realtor in that city’s round-robin distribution of pre-vetted prospects until the Founding Member’s first pre-vetted CaliforniaGO^TM homebuyer registration for that city has been delivered in accordance with Section 7A.

Availability is determined solely by GOTOHOME^TM and may change at any time. GOTOHOME^TM‘s own professional listings, where applicable, are not counted toward the per-city Realtor or Loan Professional limits described above.

8A. Legacy Status

STANDARD FEATURED MEMBERSHIP^TM Members may receive Legacy Status recognition and display a Legacy badge within the platform.

Legacy Status recognizes professionals who committed early to supporting the growth and expansion of the GOTOHOME^TM and CaliforniaGO^TM network through STANDARD FEATURED MEMBERSHIP^TM participation.

Legacy recognition may include enhanced positioning, visibility benefits, participation advantages, or other promotional considerations as determined solely by GOTOHOME^TM.

8B. GOTOHOME^TM Founder Listing Policy

In cities where no independent Realtor or Loan Professional Member is currently registered, GOTOHOME^TM may feature its own founder or an affiliated professional listing to maintain continued visibility and service to consumers in that city.

GOTOHOME^TM‘s own listings step aside automatically once a paying Member registers in that city and professional category, whether under FOUNDING CALIFORNIAGO MEMBERSHIP^TM or STANDARD FEATURED MEMBERSHIP^TM. GOTOHOME^TM will remove its own listing from a city within 24 hours of a new Member’s registration being approved in that city and professional category.

This policy does not affect a Member’s placement, exclusivity, or any other rights described in Sections 8 and 10.

9. Brokerage & City Limits

• One Member per brokerage per city
• Members may represent only one city at a time unless otherwise approved in writing

11. Auto-Renewal & Billing

STANDARD FEATURED MEMBERSHIP^TM Members authorize automatic recurring billing unless canceled in accordance with these Terms.

FOUNDING CALIFORNIAGO MEMBERSHIP^TM is a one-time fee with no recurring billing through June 30, 2027, at which time the plan ends as described in Section 10.

Members are responsible for maintaining valid payment information.

GOTOHOME^TM reserves the right to modify pricing, membership structures, or included services prospectively at any time.

STANDARD FEATURED MEMBERSHIP^TM Members in good standing will receive advance notice of material pricing changes where applicable.

12. No Refund Policy

All fees are non-refundable, including the FOUNDING CALIFORNIAGO MEMBERSHIP^TM one-time setup fee. All sales are final.

13. Cancellation

For STANDARD FEATURED MEMBERSHIP^TM Members, a minimum of 10 days notice prior to the next billing cycle is required for cancellation requests. FOUNDING CALIFORNIAGO MEMBERSHIP^TM has no recurring billing cycle and therefore no cancellation is required prior to June 30, 2027; the one-time setup fee remains non-refundable regardless of membership activity. As described in Section 10, a FOUNDING CALIFORNIAGO MEMBERSHIP^TM Member who does not convert to STANDARD FEATURED MEMBERSHIP^TM within 30 days of the Founding plan’s June 30, 2027 end date will have their membership and Member Page deactivated; this deactivation does not constitute a cancellation by the Member and does not entitle the Member to any refund.

14. Legal

Standard legal provisions including limitation of liability, indemnification, dispute resolution, arbitration, and applicable governing law apply to the fullest extent permitted by law.

GOTOHOME^TM reserves all rights not expressly granted herein.
